Terms of Use
The terms that govern access to and use of Minitap, including our dashboard, APIs, CLI, integrations, testing infrastructure, and related services.
Last updated: October 5, 2026
1. Agreement and Order of Precedence
These Terms of Use ("Terms") are an agreement between the applicable Minitap contracting entity ("Minitap," "we," "us," or "our") and the entity or person accessing or using the Platform ("Customer," "you," or "your"). The applicable Minitap contracting entity is the entity named in your order form, invoice, checkout flow, account record, or other written agreement. If no Minitap entity is identified, the contracting entity is Minitap, Inc.
If you have a signed order form, statement of work, design partnership agreement, data processing agreement, security addendum, or other written agreement with Minitap, that written agreement controls over these Terms to the extent of any conflict. Otherwise, these Terms, together with our Privacy Policy, form the entire agreement for your use of the Platform.
Minitap group entities may provide local sales, support, invoicing, operational, or data-processing services. The current Minitap group entities referenced by these Terms are:
- Minitap, Inc., a Delaware corporation, 2261 Market Street, San Francisco, CA 94114, United States;
- MINITAP LIMITED, company number 16860101, C/O Founders Law Hamilton House, 1 Temple Avenue, London, United Kingdom, EC4Y 0HA; and
- MINITAP, a French SAS, SIREN 999 165 327, 25 rue Danton, 94270 Le Kremlin-Bicetre, France.
2. The Platform
Minitap provides an AI-powered QA platform that helps teams generate, maintain, run, and triage tests for mobile and web applications across supported iOS, Android, and web browser environments. The Platform may include dashboards, APIs, command-line tools, MCP tools, repository integrations, CI/CD integrations, Slack or other messaging integrations, mobile device and web browser environments, testing agents, run reports, screenshots, videos, logs, issue summaries, and related documentation.
The Platform is intended to support engineering and QA workflows. It does not replace your own review, release management, security testing, legal compliance review, accessibility audit, app-store review, or production monitoring.
We may add, remove, modify, or discontinue Platform features over time. We will use reasonable efforts to avoid materially reducing paid functionality during an active subscription period, but some changes may be necessary for security, reliability, legal compliance, third-party provider changes, or product improvement.
3. Accounts and Authority
You must provide accurate account, workspace, billing, and administrative information and keep it current. You are responsible for maintaining the confidentiality of credentials, API keys, access tokens, and integration permissions associated with your account.
Customer is responsible for all activity under its account, including activity by employees, contractors, agents, invited users, and any automated systems using Customer credentials. You must promptly notify Minitap of any unauthorized access or suspected compromise.
If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not have that authority, you may not use the Platform for that entity.
4. Customer Content and Customer Responsibilities
"Customer Content" means source code, repository data, mobile application builds, web application URLs, test plans, product specs, acceptance criteria, configuration files, prompts, instructions, screenshots, videos, logs, app data, test data, credentials you provide, and any other materials submitted to or made available through the Platform by or on behalf of Customer.
Customer retains all rights, title, and interest in Customer Content. Customer grants Minitap a limited, non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, display, and use Customer Content solely as needed to provide, secure, support, troubleshoot, and improve the Platform for Customer and as otherwise permitted by these Terms or a written agreement.
Customer is responsible for:
- Having all rights, licenses, consents, notices, and permissions necessary to provide Customer Content to Minitap.
- Ensuring that Customer Content and Customer's use of the Platform comply with applicable laws, third-party contracts, app store rules, repository provider terms, employment obligations, and privacy obligations.
- Removing production secrets, credentials, regulated data, and sensitive personal information that should not be processed by the Platform unless Minitap has agreed to appropriate safeguards in writing.
- Reviewing and validating test scenarios, run results, issue summaries, reports, pull request comments, and other outputs before relying on them.
5. Repositories, Builds, and Third-Party Integrations
If Customer connects GitHub, GitLab, Slack, CI/CD systems, app stores, cloud services, messaging tools, or other third-party services, Customer authorizes Minitap to access and use the connected service within the permissions granted by Customer and the integration provider.
Repository access may include reading repository contents, metadata, branches, commits, pull requests, issues, configuration files, and webhook events; triggering or observing builds and runs; and writing permitted statuses, comments, reports, or other testing artifacts back to the connected service.
Customer controls which integrations and repositories are connected and may revoke access through the applicable provider. Revoking access may disable Platform features, break existing workflows, or prevent Minitap from maintaining scenarios or running tests.
Minitap is not responsible for third-party services, their availability, security, permissions model, provider terms, rate limits, data handling, outages, or changes. Customer is responsible for configuring integrations using appropriate scopes and permissions.
6. AI Processing and Use of Data
Certain Platform features use AI models, agents, and related tools to understand Customer Content, generate or maintain test scenarios, operate test runs, classify results, summarize failures, and suggest next actions. These tools may include third-party AI providers acting as subprocessors or service providers for Minitap.
Customer Content may be provided to AI systems as needed to deliver the Platform.
Minitap may collect and use aggregated usage and performance data, such as run counts, durations, error rates, and other technical metrics, to operate, secure, and improve the Platform. This data does not identify Customer, its end users, or its applications.
Minitap does not use Customer Content to train artificial intelligence or machine learning models. This applies to all plans and includes de-identified Customer Content. Minitap will not use Customer Content in a way that discloses it to other customers.
Feedback submitted through the Platform may be used to adjust Customer-specific triage, scenario suggestions, and app-specific behavior. Such adjustments apply only to Customer's own account, and Feedback is not used to train models.
AI output can be incomplete, incorrect, nondeterministic, or unsuitable for a particular release decision. Customer is responsible for reviewing outputs and deciding how to use them.
7. Test Outputs, Ownership, and Usage Data
"Test Outputs" means test scenarios, run reports, screenshots, videos, logs, issue summaries, classifications, recommendations, pull request comments, and other results generated specifically for Customer through the Platform.
As between the parties, Customer owns Customer Content. Subject to Customer's compliance with these Terms and payment obligations, Customer may use Test Outputs for Customer's internal business purposes, including testing, debugging, release management, and improving Customer applications.
Minitap retains all rights in the Platform, including software, workflows, agents, models, model orchestration, prompts, testing methods, UI, infrastructure, analytics, documentation, know-how, and improvements. No rights are granted except as expressly stated in these Terms.
Minitap may collect and use telemetry, performance data, operational metrics, and aggregated or de-identified usage data to secure, support, analyze, and improve the Platform, provided such data does not identify Customer, Customer Content, Customer repositories, Customer applications, or any individual.
8. Fees, Trials, Billing, and Taxes
Paid use of the Platform is subject to the fees, usage limits, plan terms, billing cadence, payment method, and subscription period stated at checkout, in the Platform, or in an order form. Unless otherwise stated in writing, fees are non-refundable, non-cancelable, and exclusive of taxes.
Customer authorizes Minitap and its payment processor to charge the payment method on file for recurring subscription fees, usage-based fees, overages, and applicable taxes. Customer is responsible for all taxes except taxes based on Minitap's net income.
Minitap may suspend access for overdue amounts after reasonable notice unless Customer disputes the amount in good faith. Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.
Free trials, beta access, promotional credits, or evaluation accounts may be limited, modified, or terminated at any time. Unless otherwise stated in writing, trial or beta access is provided as-is, without service commitments, warranties, or indemnities.
9. Design Partnership Addendum
Customers who enter into a design partnership with Minitap, as confirmed in writing by Minitap, are subject to this Section. If this Section conflicts with another part of these Terms, this Section controls for the design partnership.
A design partnership is a collaborative engagement to assess the feasibility, effectiveness, and business impact of the Platform for Customer's specific use cases. Scope, timeline, pricing, and objectives will be agreed in writing.
Unless the written design partnership terms say otherwise, design partnership customers may request a full refund of payments made for the design partnership by emailing Minitap within 3 months of the design partnership start date. Minitap will process eligible refunds within 30 calendar days.
After a refund, Customer must stop using the Platform and any proprietary Minitap materials provided during the design partnership. Customer may retain Customer Content and Test Outputs as permitted by these Terms.
10. Acceptable Use
Customer will not, and will not permit others to:
- Use the Platform to violate law, third-party rights, privacy obligations, export controls, sanctions rules, app-store rules, or repository provider terms.
- Submit malware, harmful code, unlawful content, or content intended to exploit, disable, or compromise systems or data.
- Reverse engineer, decompile, disassemble, scrape, crawl, copy, benchmark for competitive purposes, or attempt to derive the source code, prompts, models, algorithms, or non-public methods of the Platform, except where law prohibits this restriction.
- Use the Platform to build, train, or improve a competing product or service.
- Circumvent limits, security controls, rate limits, access controls, billing controls, or monitoring systems.
- Share accounts, resell access, sublicense the Platform, or make the Platform available to third parties except as expressly permitted in writing.
- Interfere with the Platform, overload infrastructure, run unauthorized scanning, or attempt unauthorized access.
- Upload production credentials, payment card data, protected health information, children's data, or other regulated sensitive data unless Minitap has agreed to process that data in writing.
11. Security and Access Controls
Minitap will maintain reasonable administrative, technical, and organizational measures designed to protect Customer Content and Platform systems. Customer is responsible for configuring workspace permissions, repository scopes, API keys, secrets, and integration access appropriately.
Customer must promptly notify security@minitap.ai of suspected unauthorized access, credential compromise, security vulnerabilities, or incidents involving the Platform.
12. Confidentiality
Each party may receive non-public information from the other party that is marked confidential or reasonably should be understood as confidential. The receiving party will use confidential information only to perform under these Terms and will protect it using at least reasonable care.
Confidential information does not include information that is public through no fault of the receiving party, already known without confidentiality obligations, independently developed without use of the other party's confidential information, or rightfully obtained from a third party.
13. Privacy and Data Processing
Minitap's Privacy Policy explains how we collect, use, and protect personal information. To the extent Minitap processes personal information in Customer Content on Customer's behalf, Minitap acts as Customer's processor or service provider under applicable privacy laws, unless a written agreement states otherwise.
If required by law or requested by Customer, the parties will enter into a data processing agreement or similar addendum covering subprocessors, cross-border transfers, audit rights, security measures, and data subject requests.
14. Third-Party Services
The Platform may depend on third-party services, including cloud providers, AI providers, repository providers, payment processors, analytics tools, app stores, CI/CD systems, and communications tools. Minitap is not responsible for third-party services or their terms, security, availability, data practices, or changes.
15. Beta Features and Availability
Previews, experiments, beta features, and free trials are provided as-is and may be changed or discontinued at any time. Minitap may temporarily suspend or limit the Platform for maintenance, security, abuse prevention, legal compliance, provider outages, or reliability reasons.
16. Warranties and Disclaimers
Minitap will provide paid services in a professional and workmanlike manner. Except as expressly stated in a written agreement, the Platform and all outputs are provided "as is" and "as available."
To the fullest extent permitted by law, Minitap disclaims all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, and any warranty that the Platform will detect every defect or produce complete, accurate, or release-ready results.
17. Limitation of Liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost goodwill, lost data, business interruption, or cost of substitute services, even if advised of the possibility.
Except for exclusions that cannot legally be limited, each party's total aggregate liability under these Terms is limited to the amounts paid or payable by Customer to Minitap for the Platform in the 12 months before the event giving rise to liability.
18. Indemnity
Customer will defend, indemnify, and hold harmless Minitap from claims arising out of Customer Content, Customer's applications, Customer's breach of these Terms, Customer's use of the Platform in violation of law, or Customer's integrations and third-party services.
Minitap will defend Customer from third-party claims alleging that the Platform, as provided by Minitap and used according to these Terms, infringes a third-party intellectual property right. Minitap's obligation does not apply to claims arising from Customer Content, Customer instructions, third-party services, modifications not made by Minitap, or use after Minitap provides a reasonable workaround or termination right.
19. Term, Suspension, and Termination
These Terms begin when you first access or use the Platform and continue until terminated. Either party may terminate as stated in an order form or written agreement. Minitap may suspend or terminate access for material breach, non-payment, security risk, legal risk, suspected abuse, or use that threatens the Platform or others.
Upon termination, Customer must stop using the Platform. Sections that by their nature should survive will survive, including ownership, payment, confidentiality, disclaimers, limitations of liability, indemnity, governing law, and dispute provisions.
20. Export, Sanctions, and Anti-Corruption
Customer will comply with applicable export control, sanctions, anti-corruption, and anti-bribery laws. Customer represents that it is not located in, organized under the laws of, or ordinarily resident in a sanctioned jurisdiction, and is not on a restricted-party list.
21. Changes to These Terms
Minitap may update these Terms from time to time. If we make material changes to paid services, we will provide reasonable notice. Continued use after the effective date means the updated Terms apply. If you object to material changes, your remedy is to stop using the Platform before the changes take effect.
22. Governing Law and Disputes
Unless a written agreement says otherwise, these Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in Delaware, except either party may seek injunctive relief in any court of competent jurisdiction.
